Software License Terms and Conditions

1. Agreement to Terms

By purchasing, downloading, installing, or using any software provided by Targeted Approach Limited ("the Software"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not purchase, install, or use the Software.

2. License Grant

2.1 Individual License

Subject to your compliance with these Terms, Targeted Approach Limited grants you a limited, non-exclusive, non-transferable license to:

• Install and use the Software on devices that you own or control
• Use the Software for your personal or business purposes
• Make one backup copy of the Software for archival purposes

2.2 License Types

Trial License: Valid for 7 days from activation. Full features available. Automatically expires after trial period.

Lifetime License: Perpetual use of the Software version purchased, plus free updates for one year from purchase date.

Annual Subscription: Valid for one year from purchase. Includes all updates during subscription period. Automatically renews unless cancelled.

2.3 License Restrictions

This license is for individual use only. Each license permits use by one person. You may NOT:

• Share your license with others
• Transfer your license to another person without written consent
• Rent, lease, or lend the Software
• Use the Software for commercial resale
• Allow multiple users to access the Software under a single license

3. Restrictions on Use

You agree NOT to:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works of the Software
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the Software for any unlawful purpose
• Circumvent any technical limitations or license validation mechanisms
• Distribute or make the Software available over a network where it could be used by multiple devices at the same time

4. Activation and License Validation

4.1 Internet Connection Required

Initial activation of the Software requires an internet connection. The Software may periodically validate your license by connecting to our servers.

4.2 License Key

You will receive a unique license key upon purchase. You are responsible for keeping your license key secure and confidential.

4.3 Device Limits

You may install the Software on multiple devices you own, but you may only use it on one device at a time.

5. Updates and Support

5.1 Software Updates

Lifetime License: Free updates for one year from purchase date. After one year, the Software continues to function but updates require subscription renewal.

Annual Subscription: All updates included during active subscription period.

Trial License: Updates not applicable.

5.2 Technical Support

Email support is provided at admin@software.targetedapproach.co.uk. We aim to respond within 2 business days. Support is provided on a reasonable efforts basis.

6. Payments and Refunds

6.1 Payment Processing

All payments are processed securely through Paddle.com. By purchasing, you also agree to Paddle's terms of service.

6.2 Pricing

All prices are in British Pounds (GBP) and include VAT where applicable. Paddle automatically calculates and collects VAT for EU customers.

6.3 Refund Policy

We offer a 14-day money-back guarantee from the date of purchase for paid licenses. To request a refund, email admin@software.targetedapproach.co.uk with your order details.

Refunds are processed within 7 business days of approval. Trial licenses are not eligible for refunds.

6.4 Subscription Cancellation

Annual subscriptions renew automatically. You may cancel at any time through your Paddle account. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time.

7. Intellectual Property Rights

The Software is licensed, not sold. Targeted Approach Limited retains all right, title, and interest in and to the Software, including all intellectual property rights. These Terms do not grant you any rights to trademarks or service marks of Targeted Approach Limited.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Targeted Approach Limited does not warrant that:

• The Software will meet your specific requirements
• The Software will be error-free or uninterrupted
• Any defects in the Software will be corrected
• The results obtained from use of the Software will be accurate or reliable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TARGETED APPROACH LIMITED BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Damages arising from use or inability to use the Software

Our total liability shall not exceed the amount you paid for the Software license.

10. Professional Use and Engineering Calculations

IMPORTANT NOTICE: The Software performs engineering calculations for the petroleum industry. You acknowledge that:

• Results should be verified independently before use in critical applications
• The Software is a tool to assist professional engineers, not a replacement for professional judgment
• You are solely responsible for verifying the accuracy and appropriateness of all calculations
• Targeted Approach Limited is not liable for decisions made based on Software output
• You must comply with all applicable industry standards, regulations, and safety requirements

11. Data Collection and Privacy

11.1 Data We Collect

The Software may collect:

• License activation and validation data
• Basic usage statistics (features used, frequency)
• Error reports and diagnostic information

11.2 Data Use

We use collected data solely to:

• Validate licenses and prevent piracy
• Improve Software performance and features
• Provide technical support

11.3 No Sale of Data

We never sell your data to third parties. Your project data and calculations remain private and are not transmitted to our servers.

12. Term and Termination

12.1 Term

These Terms remain in effect until terminated.

12.2 Termination by You

You may terminate this license at any time by uninstalling the Software and destroying all copies.

12.3 Termination by Us

We may terminate your license immediately if you breach these Terms. Upon termination:

• Your license rights cease immediately
• You must uninstall and destroy all copies of the Software
• No refund will be provided for terminated licenses

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Software after changes constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
